These Terms & Conditions / Terms of Sale (“Terms”) apply to your access to and use of www.weiss-tools.com, and to your purchase of products, request for quotations, orders, invoices, sales orders, and related services from WEISS Machinery.

By accessing our website, requesting a quote, placing an order, or purchasing from us, you agree to these Terms.

If you do not agree to these Terms, please do not use our website or purchase products from us.

Nothing in these Terms is intended to limit any mandatory consumer rights that cannot be waived under applicable law.

1. Eligibility

You must be at least 18 years old to use our website, request a quotation, place an order, or purchase products from us.

Our products are intended for adult consumers, businesses, workshops, institutions, and other lawful users. They are not intended for purchase by children.

2. Product Information

We try to keep product descriptions, specifications, photos, prices, availability, and other website content accurate and up to date. However, errors may occur.

WEISS Machinery reserves the right to correct errors, update product information, change prices, modify specifications, discontinue products, or cancel orders affected by incorrect information.

Product images are for reference only. Actual products may vary due to manufacturing updates, regional requirements, packaging changes, product improvements, or availability of parts and accessories.

3. Orders and Acceptance

All orders are subject to acceptance by WEISS Machinery.

A website checkout, quotation, pro forma invoice, invoice, or sales order does not guarantee acceptance unless we confirm the order in writing or begin processing it.

We may refuse, cancel, delay, or modify an order if:

· the product is unavailable;

· payment cannot be confirmed;

· product or pricing information contains an error;

· shipping is not feasible;

· additional information is required;

· the order appears fraudulent or unauthorized;

· export, import, customs, sanctions, safety, or legal concerns exist.

If we cancel an order after payment has been received, we will issue any applicable refund according to the payment method, platform rules, and applicable law.

4. Prices, Taxes, and Fees

Unless otherwise stated in writing, product prices do not include shipping, freight, handling fees, sales tax, VAT/GST, customs duties, import fees, brokerage fees, storage fees, liftgate fees, residential delivery fees, installation fees, bank fees, or currency conversion fees.

Customers are responsible for all applicable charges unless WEISS Machinery expressly agrees otherwise in writing.

Prices may change without notice. International orders, custom orders, bulk orders, and freight orders may require separate quotations.

5. Payment

Payment must be received and confirmed before order processing unless WEISS Machinery approves other written payment terms.

Accepted payment methods may include methods approved by us, such as credit card, debit card, ACH, wire transfer, check, or third-party payment processor.

Orders paid by wire transfer, ACH, check, or other non-card methods may not be processed until funds are received and cleared.

Customers are responsible for bank fees, wire transfer fees, currency conversion fees, payment processing fees, chargeback fees, or other payment-related costs.

6. Shipping and Delivery

Shipping and delivery are governed by our Global Shipping Policy, which is incorporated into these Terms.

Orders may be fulfilled from our U.S. warehouse or China warehouse depending on product availability, destination, shipping method, and order details.

Delivery timeframes are estimates only and are not guaranteed unless expressly stated in writing.

Large or heavy equipment may require truck freight, LTL freight, ocean freight, terminal pickup, curbside delivery, or other freight methods.

Unless otherwise stated in writing, customers are responsible for unloading, forklifts, loading docks, pallet jacks, labor, indoor movement, placement, installation, and required permits.

7. International Orders and Customs

International orders must be confirmed with us before shipment.

Unless otherwise stated in writing, international shipments are not shipped DDP. Customers are responsible for import duties, taxes, VAT/GST, customs clearance, brokerage fees, storage fees, destination charges, and other fees imposed by the destination country, customs authority, or carrier.

If a specific Incoterm applies, it will be stated on the quotation, pro forma invoice, commercial invoice, or written sales agreement.

Customers are responsible for confirming that products can be legally imported, installed, possessed, and used in their destination country or region.

WEISS Machinery may refuse, cancel, or delay any order if we believe it may violate export control, sanctions, customs, trade, safety, or other legal requirements.

8. Risk of Loss and Title

Unless otherwise stated in writing or required by applicable law, risk of loss or damage transfers according to the applicable shipping terms, Incoterm, quotation, invoice, or written sales agreement.

For orders shipped by carrier without a specific written Incoterm, risk of loss may transfer when the product is delivered to the carrier for shipment. We will assist with carrier claims for properly documented shipping damage as described in our Global Shipping Policy.

Title to products transfers only after full payment has been received, unless otherwise agreed in writing.

9. Cancellations, Returns, and Refunds

Order cancellations, returns, and refunds are governed by our Refund & Return Policy, which is incorporated into these Terms.

Orders may be cancelled before they are processed for shipment, unless the order is custom-made, special-order, already in production, already packed, scheduled with a carrier, loaded, shipped, or otherwise non-cancellable.

All returns must be approved by WEISS Machinery in writing before any product is returned.

Because many products are machinery, heavy equipment, oversized items, or internationally shipped goods, return shipping may not always be practical or economically reasonable. In certain cases, we may choose to provide replacement parts, repair support, partial refund, full refund, credit, or refund without return.

A refund without return is not an automatic customer right and must be approved by WEISS Machinery in writing.

This section does not limit any mandatory consumer return, cancellation, withdrawal, or refund rights that may apply under applicable law.

10. Warranty

Warranty coverage is governed by our Warranty Policy, which is incorporated into these Terms.

Unless otherwise stated in writing, eligible products are covered by a limited warranty from the date of delivery to the original purchaser.

Warranty coverage does not apply to misuse, abuse, negligence, accidents, improper installation, improper wiring, incorrect voltage, unauthorized repair, modification, lack of maintenance, normal wear and tear, consumable parts, shipping damage, or damage caused after delivery.

WEISS Machinery does not reimburse third-party repairs, labor charges, installation fees, electrician fees, diagnostic fees, moving costs, rigging costs, forklift costs, or freight costs unless approved by us in writing before the cost is incurred.

This section does not limit any mandatory warranty rights that may apply under applicable law.

11. Product Use and Safety

Customers are responsible for reviewing product specifications before purchase and confirming that the product is suitable for their intended use.

Customers are responsible for proper installation, operation, maintenance, electrical setup, voltage compatibility, workplace safety, permits, and compliance with applicable local laws, regulations, electrical codes, and safety requirements.

Some products may require installation, setup, or operation by qualified personnel. Customers should follow all manuals, warnings, labels, and safety instructions.

WEISS Machinery is not responsible for damage, injury, loss, or non-compliance caused by improper installation, misuse, unauthorized modification, incorrect electrical setup, failure to follow instructions, or use of the product in an unsuitable environment, except to the extent liability cannot be excluded under applicable law.

12. Customer Accounts

If you create an account on our website, you agree to provide accurate, current, and complete information.

You are responsible for maintaining the confidentiality of your login information and for all activity under your account.

WEISS Machinery may suspend or terminate an account if we believe the information provided is inaccurate, incomplete, fraudulent, or in violation of these Terms.

13. Communications

By requesting a quote, placing an order, creating an account, or contacting us, you agree that WEISS Machinery may contact you about your order, payment, shipping, delivery, warranty, service, account, or policy updates.

If you subscribe to marketing communications, you may opt out by following the unsubscribe instructions provided in those communications.

Opting out of marketing communications does not stop transactional or administrative communications related to your orders, account, payments, shipping, warranty, service, or policy updates.

14. Privacy

Your use of our website and services is governed by our Privacy Policy, which explains how we collect, use, share, store, and protect personal information.

By using our website or purchasing products from us, you agree to our Privacy Policy.

To the maximum extent permitted by applicable law, our total liability for any claim related to a product, order, website use, or service will not exceed the amount paid for the specific product or order giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless WEISS Machinery, its affiliates, employees, agents, suppliers, and service providers from claims, losses, damages, liabilities, costs, and expenses arising from:

· your violation of these Terms;

· your misuse of the website or products;

· your violation of applicable laws;

· your improper installation, modification, resale, export, import, or use of products;

· inaccurate information you provide;

· claims from your customer, end user, contractor, installer, employee, or other third party.

21. Force Majeure

WEISS Machinery is not responsible for delays or failure to perform caused by events beyond our reasonable control, including natural disasters, fire, flood, storm, war, civil unrest, government action, labor disputes, pandemics, factory shutdowns, supplier delays, material shortages, transportation delays, customs inspections, port congestion, carrier disruptions, power outages, cyber incidents, or changes in law or trade restrictions.

22. Platform Orders

If your order is placed through a third-party marketplace or platform, that platform’s rules may also apply.

Where platform policies control shipping, cancellation, payment, refund, return, warranty, or dispute procedures, those platform policies may apply to that order.

23. Governing Law and Disputes

These Terms are governed by the laws of the People’s Republic of China, unless mandatory consumer protection laws in your jurisdiction require otherwise.

Subject to applicable mandatory consumer protection laws, any dispute arising from these Terms, website use, products, services, quotations, invoices, or sales shall be submitted to a competent court in China.

For international B2B transactions, the quotation, invoice, or written sales agreement may state a different governing law, forum, or arbitration process. If so, that written document controls for that specific order.

24. Changes to These Terms

WEISS Machinery may update these Terms from time to time. The effective date at the top of this page shows when these Terms were last updated.

Your continued use of our website or purchase of products after updated Terms are posted means you accept the updated Terms.

25. Severability

If any part of these Terms is found unenforceable, the remaining provisions will remain in effect.

26. Entire Agreement

These Terms, together with our Privacy Policy, Global Shipping Policy, Refund & Return Policy, Warranty Policy, and any applicable quotation, invoice, sales order, or written agreement, form the agreement between you and WEISS Machinery regarding your use of the website and purchase of products.

If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls for that specific order.
